On the basis of the audit’s findings, we have come
to the conclusion that the annual and consolidated
financial statements conform to the statutory
provisions and the supplemental provisions of the
articles of association, and that they give a true and
fair account of the net assets, financial position, and
results of operations of Koelnmesse GmbH and the
Koelnmesse consolidated companies, in accordance
with German principles of proper accounting. The
summarised management report on Koelnmesse
GmbH and the Koelnmesse consolidated companies
agrees with the annual and consolidated financial
statements. It provides a reliable overall understand-
ing of the situation of Koelnmesse GmbH and the
Koelnmesse consolidated companies, and it accu-
rately depicts the opportunities and risks
associated with future developments.
